Thank you for your (“Author/Artist”, “Contributor”, “You”,”Licensor”, etc.) content (“Art”, “Writing”, “Article”,”Work”, Submission”, etc.)  submission to Dinlas Gamer Network (“Dinlas”,”DGN”,“We”,“Our”,”Eva Tucker”,”Licensee”, etc) for publication consideration! We hope you are as excited as we are to be part of our community of gamers and game fans!. Before we can publish and use your contribution we do have some fun legal things to get out of the way. 

Dinlas Gamer Network is a digital media and entertainment brand that focuses on building a positive, inclusive, and engaging “network” of video gamers (“Users”) through the creation of various interactive social communities and the sharing of industry news plus entertainment through digital platforms and social media. 

Why “Dinlas” Gamer Network? In old English “Din” means to “Make a Noise”, now apply that to people by adding “-las” and you will have a community making noise and speaking up! Being a social hub has been the core of Dinlas Gamer Network ever since creator Eva Tucker first started making her first social media gaming groups back in 2012, some of which have now grown to tens of thousands of members!.

Please understand that in its current form Dinlas is a small independent publication and media group, a passion project, with big hopes for the future to grow and give back to the community as a resource for news, media, and communication. It aims to be a social and media network that is inclusive and interactive for gamers and enthusiasts of all backgrounds. Of course a Network takes time to build, as such, at this time, it’s important to remember that Dinlas Gamer Network is not a fully self sufficient entity or part of some corporation, but rather a passion project of its owner and creator Eva Tucker (DBA Dinlas Gamer Network) that embraces the help of the community to run and offer what it does.Dinlas has been this way for years, working on building a community as a passion without any significant (if any) external revenue. Of course we never know what the future may hold for Dinlas or its contributors as both continue to grow and develop. So it is important for certain agreements and mutual understandings to be in place regarding content shared with us, so all involved parties are aware, and in agreement, with each other, now and in the future, with how it can be used. 

We feel Dinlas is a strong and valuable platform for building repertoire, skill, and resumes of all contributors. Content selected and published by Dinlas should continue to be valuable for the original content creator, even beyond the Dinlas Network. We acknowledge how hard content creators, writers and artists work on their craft, even on works shared freely for the community without expectation of any personal gain. While Dinlas would love to be able to financially support the works of all its contributors and contributions, at this time the scale of Dinlas Gamer Networks operations simply does not make that feasible. We are extremely thankful for all those who still choose to submit content to us in exchange for the chance to be published and shared. To further show our gratitude we allow, unless otherwise agreed on outside of this agreement, content submitters to keep their copyright ownership on content submitted to us. This decision to keep ownership in the hands of the creator is important to us, and with that in mind we have created, through this document,  a licensing transfer agreement  that we feel allows contributors to keep many rights. Our vision with this is that, for what compensation we may not be able to offer you in our current stage, we can hopefully offset with what we can grant you in valuable ownership freedoms (and ability for alternative profitability) with your work by offering this nonexclusive commercial agreement. 

This document is to help clarify the licensing agreements that you would be entering with Dinlas Gamer Network (Eva Tucker DBA Dinlas Gamer Network) should you agree to have your content published by us. Nothing can be published without signing or virtually acknowledging the contents of this document (Acknowledgement expressed or implied will be taken as full acceptance and agreement, the act of submission when informed of these policies prior is considered consenting, as allowed by extent of the law). This signed document should be submitted along with your content at time of submission when possible (for example attached to the same email or in a timely fashion afterwards, depending on how these policies were presented to you, for example if this document was  emailed to you, instead of physically signing you may simply email back that you agree to the licensing agreement, such statement would be considered acknowledgment and consent, or is submitting content to a portal or email where you are informed that by submitting/continuing you are agreeing to the referenced licensing agreement that would be considered acknowledgment and consent). The Provisions (in addition to what has been stated above) of the licensing agreement are below on the following pages. Please be sure to read all pages. Definitions:

Licensor– refers to the content creator/contributor, acting on behalf of themselves and any co-creators. For simplification may be referred to as just “licensor”

Licensee– refers to Eva Tucker DBA Dinlas Gamer Network, approved associates and successors, and any entity or individual selected by Dinlas or Eva Tucker now or in the future, private or public, on any platform (now known or hereafter created) digital and physical. For simplification may be referred to as just “Dinlas”. Dinlas is based out of Maryland USA.  

Content – refers to any user generated content/media/contributions submitted to Dinlas, digital or physical on any platform (now known or hereafter created) . Examples include, but are not limited to: Writing, text, articles, poems, recipes, quotes, podcast,paintings, photographs, digital art, videos, animation, music, sounds, commentary, audiobooks, fanart, brand ambassadors, etc    

Licensor Responsibilities and Authority

  • The content creator(s) (Licensor)  keeps the copyright of their original content. Content is licensed to Dinlas Gamer Network (Licensee) on a non-exclusive commercial fee-free perpetual/permanent basis.
  • The licensor can not transfer or assign this agreement and its given rights to another without written and signed agreement by all parties, including Dinlas, this applies to any waivers or alterations to the original terms listed in this agreement. 
  • Licensor certifies that they are authorized to represent themselves and on behalf of any co-creators, and that they are authorized to grant/modify their such rights and be entering into any such agreement with Dinlas and associates.
  • Licensor recognizes that this agreement is, as allowed by the extent of the law, is a legally binding contract between both parties that is enforceable as according to Maryland and/or Federal Law.  
  • Content submitted is original work fully owned and created by the licensor, and the licensor (and content)  is not breaking any other contracts, third party restrictions, or agreements by having  such content be shared, submitted, licensed, or further used by Dinlas in any form now or in the future. The content contains nothing unlawful, libelous, subject to non disclosure or confidentiality agreements or in any other form contract breaching. Any content or intellectual property does not infringe on or violate the rights of any other third party or applicable law or regulation. There are no pending claims that if sustained would affect the rights of the content or licensing.  The licensor has taken due care to ensure integrity in the content submitted, and should this be discovered after the fact Dinlas is not to be held responsible for negligence on part of the licensor for any damages.
  • Licensor shall observe high ethical standards towards any content contributed and is expected to work cooperatively with Dinlas should any issues or complaints arise regarding the content. In addition the Licensor is to keep the Dinlas (and affiliates) name respectable and is expected to not do, say, or share anything to bring Dinlas’s name, brands, or reputation into disrepute or that could tarnish its reputation.

Rights given to Dinlas and Rights kept by Licensor 

  • Dinlas retains full irrevocable license to use the content as they see fit, for public, private, commercial, and non-commercial use, this includes for-profit and globally, with no expiration. Content can be shared on any platform or media, in whole or in part, including in summary or alterations. Dinlas may select other people,parties,entities, affiliates, and users who can also share and use the content, sublicensed in agreement with Dinlas without written permission from or notification to the licensor/copyright owner. Use of such content includes publishing, posting, sharing, copying, alternating, and modifying as Dinlas sees fit in whole or in part. Dinlas reserves the rights to charge for access to such content or use content on other revenue generating platforms such as merchandising and advertisements.
  • License agreement is non-exclusive. The licensor is still able to license and use the content on their own outside of the agreement arrangement with Dinlas and will retain their copyright/IP. Content owned by the licensor can be used commercially and for-profit by the licensor however they see fit, including with other for-profit paid publications or academic settings.There is no limit as to with who they can share the content or how, publicly or privately, as so long as it does not interfere with Dinlas also having and maintaining full licensing rights to use the content as outlined within this document.This allows the content creator to find additional ways to share their content and make income off of it (if they desire) immediately without a waiting period. The creator/licensor retains full ownership of copyright/IP of the licensed content, subject to rights and licenses granted herein while also gaining additional potential distribution and exposure by having their content be licensed by and through Dinlas Gamer Network to publish and share.
  •  Dinlas will do its best, where applicable, to give full credit to the creator/licensor in the licensor’s preferred method in order to help sustain a good relationship between both parties and promote marketing efforts of both parties. While giving such credit is not  required and at Dinlas discretion, Dinas will wherever possible give such credit to the content creator/owner. This may be by noting the author of articles, giving author bios, linking to creators website(s) and/or listing the creators legal or pen name, and/or allowing watermarks, trademarks, copyright notices, and other artist tags from the licensor to remain on the content (such as images and video credits). The creator may inform Dinlas of its preferred way of being credited. Likewise, while in no way required or even expected, Dinlas would appreciate any efforts made by the licensor to acknowledge the contents publishing on Dinlas when shared by the Licensor (For example if the creator is posting the article on their own personal blog they may consider to end the article by saying “originally published on Dinlas Gamer Network at [link]”, or re-sharing a social media post of it from our page to promote people to read/view it there, likewise Dinlas is committed to sharing links to websites from its users and licensors on their pages to help promote them as well). While not required, it is a great hope of Dinlas to help promote content creators (and vice versa) with links and credit to help traffic flow between the two parties to increase marketing and networking connections.   Creating such a network is the goal of Dinlas Gamer Network after all.  
  • Licensor is aware that any submissions given to  or published by Dinlas are not done on a paid basis, now or in the future (fee-free). No payment will be made from Dinlas to the licensor  nor was any sort of financial consideration or exchange ever stated or implied to be made at any point in the past or future, including royalties or profit shares, regardless of the status or success of the licensor or Dinlas or the content or associates. Likewise there is no financial obligation or fees from the Licensor to Dinlas for use of the content or license transfer, unless under special circumstances (ie legal damages or fees in the case of a lawsuit involving the licensor).   
  • Licensor understands that any content submissions or licenses granted to Dinlas does not mean the content will be published or used. No such guarantee or promise is being made, Dinlas retains full rights to when, how, and even if they will use any content submitted/licensed to them. Content is reviewed and curated and may be saved to be used later at a more appropriate time or may not be used at all depending on the needs of Dinlas. 
  • Licensors understand that they are submitting content on their own independent will as user created content. The act of submitting, licensing, group moderation/admin role permissions, assisting with Dinlas operations, or having content be used by Dinlas does not establish any form of contractual employment agreement or formal volunteer role (as defined by FLSA jurisdiction) with Dinlas, but rather is done as brand advocacy as a user/consumer looking to support the vision and goals of the Dinlas Gamer Network and community. 
  • Dinlas is under no obligation to save copies or back ups of any content submitted to them and can delete or destroy material they are no longer in need of without notification. It is the licensor’s responsibility to make and retain personal copies for themselves before submitting and understand that while Dinlas will make efforts to retrieve archived or past submitted content upon request,if reasonable,  it can make no guarantee or promise to do so and will not owe anything to the licensor should it not be able to complete the request or be held responsible.
  • Dinlas and the licensor will work together cooperatively to protect the licensing and use of the content, Should the licensor or Dinlas see the content being used in an unauthorized way (either by Dinlas, or by third party unauthorized users) resulting in infringements, dilution, misappropriation, or other violation of the rights of the licensor or licensee, both parties should give due diligence to notify each other and work together to address it. The Licensor retains primary right, but is not obligated, to maintain control over any litigation or enforcement they may choose to pursue to retain their intellectual property rights. 
  • Should any provision in this agreement be found to not be enforceable in a court of law or invalid the remainder of the agreement will still be held as valid and enforceable and the involved parties agree to negotiate in good faith a substituting alternative provision, if needed, that will be enforceable and and carries on the intent of the original provisions as best as possible.
  • The length of this licensing agreement is indefinite. For submissions/content submitted, but not yet published or used in any manner the licensor has 14 days to put a formal request in writing to terminate the agreement. After 14 days, or after the content has been published, the licensor may still put in a request to terminate the agreement for Dinlas to review, but Dinlas is not in any way obligated to act upon, other than what is required by law.   
  • Any disagreements regarding the licensing agreement or content shall be settled through mediation. Should mediation not resolve the issue then, and only then, shall both parties move on to binding arbitration to settle the disagreement.  
  • Other than what is publicly posted by Dinlas or otherwise made public or permission granted, parties agree to non-disclosure regarding communications with each other, internal information about Dinlas, and anything else that could be reasonably seen as private internal information.
